AFFILIATED BUSINESS ARRANGEMENT DISCLOSURE STATEMENT
Required by the Real Estate Settlement Procedures Act (RESPA) — 12 U.S.C. § 2607(c)(4)
This disclosure is provided to you by BBI Real Estate Holdings LLC (“BBI”) to inform you of a business relationship between BBI and BMRE, Inc. (doing business as Blake McNeely Real Estate) (“BMRE”). Because this relationship may affect the services made available to you, federal law requires that you receive this notice.
1. The Nature of the Relationship
BBI Real Estate Holdings LLC is a real estate investment company that purchases residential properties directly from homeowners for cash. BMRE, Inc. is a separately organized and licensed real estate brokerage. BBI and BMRE, Inc. are affiliated companies under common or related ownership and/or control.
Because of this affiliation, in states where BMRE, Inc. holds an active real estate broker license, BMRE, Inc. may act as the buyer’s agent on behalf of BBI in connection with BBI’s purchase of your property. In this capacity, BMRE, Inc. represents BBI — not you, the seller — in the transaction.
Additionally, BMRE, Inc. may independently reach out to or offer brokerage services to property owners who are also interacting with BBI, if it is relevant and appropriate to do so. However, BMRE, Inc. does not represent you as your real estate agent unless and until you have entered into a separate, written representation agreement directly with BMRE, Inc. The existence of BBI’s affiliated relationship with BMRE, Inc. does not create any agency relationship between BMRE, Inc. and you as a seller.
2. Important Notice Regarding Existing Agreements
If you currently have an active written listing agreement or buyer representation agreement with BMRE, Inc. or any other licensed real estate brokerage, BBI cannot purchase your property without first confirming that such agreement has been properly terminated. BBI will not knowingly circumvent or interfere with an existing agency relationship.
If you are unsure whether you have an existing agreement with BMRE, Inc. or another brokerage, please review your records or consult with the brokerage directly before proceeding with BBI. It is your responsibility to ensure that any existing agreements are properly and lawfully terminated before entering into a purchase transaction with BBI.
3. No Referral Fees Paid to BBI
BBI Real Estate Holdings LLC does not receive any referral fees, finder’s fees, or other compensation from BMRE, Inc. in connection with any referral of a property owner or prospective seller to BMRE, Inc. The affiliated relationship between BBI and BMRE, Inc. is based on common ownership and operational coordination, not on a fee-for-referral arrangement.
4. Sharing of Client Information
As affiliated companies operating in related areas of the real estate business, BBI and BMRE, Inc. may share client information with each other when doing so is relevant to the services being considered or provided. For example, if you submit your property information to BBI for a cash offer, that information may be shared with BMRE, Inc. in connection with BMRE’s role as buyer’s agent for BBI, or if it becomes relevant to offer you brokerage services through BMRE, Inc. The handling of your personal information is governed by BBI’s Privacy Policy, which describes how and when your information may be shared with affiliated entities.
5. You Are Not Required to Use BMRE, Inc.
You are not required to use BMRE, Inc. as your real estate broker as a condition of doing business with BBI Real Estate Holdings LLC. BBI’s willingness to evaluate your property, make a cash offer, or complete a purchase is not contingent upon your engaging BMRE, Inc. for any service.
THERE ARE FREQUENTLY OTHER REAL ESTATE BROKERAGE PROVIDERS AVAILABLE WITH SIMILAR SERVICES. YOU ARE FREE TO SHOP AROUND TO DETERMINE THAT YOU ARE RECEIVING THE BEST SERVICES AND THE BEST RATE FOR THOSE SERVICES. YOUR CHOICE OF SERVICE PROVIDER IS ENTIRELY YOUR OWN.
6. If You Choose to Work With BMRE, Inc.
If you independently choose to engage BMRE, Inc. for real estate brokerage services — for example, to list your home on the open market rather than selling directly to BBI — the terms of that engagement, including brokerage commissions and any other fees, will be disclosed separately in a written representation agreement between you and BMRE, Inc. in accordance with applicable law. Please note that, as described in Section 2 above, if you choose to enter into a listing or representation agreement with BMRE, Inc. after initially contacting BBI, the existence of that agreement may affect BBI’s ability to purchase your property unless and until the agreement is properly terminated.
7. Acknowledgment
By submitting your information on this Site or proceeding to engage with BBI Real Estate Holdings LLC, you acknowledge that you have received and had the opportunity to review this Affiliated Business Arrangement Disclosure Statement. You further acknowledge that you understand the nature of the relationship between BBI and BMRE, Inc. and that you are free to choose your own service providers.
